Terms of Service

When you sign up for a new service or create an account on a website, you are often required to agree to the Terms of Service. But what exactly are Terms of Service and why are they important?

These Terms of Use (“Terms”) form a legally binding agreement between you (“Customer,” “you,” or “your”) and Rackables LLC, a New Jersey Limited Liability Company (“Company,” “we,” “us,” or “our”), governing your access to and use of the rackables.com website and related services (collectively, the “Site”).

By accessing or using this Site, creating an account, or placing an order, you agree to be bound by these Terms, as well as any applicable policies posted on the Site, including our Return Policy and Privacy Policy, which are incorporated by reference.

If you do not agree with these Terms, do not access or use the Site.

Use of the Site

The Site is provided to facilitate the browsing, selection, and purchase of server hardware, computer components, networking equipment, and related accessories.

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Access or use the Site for fraudulent or unlawful purposes;
• Attempt to gain unauthorized access to any systems or data;
• Interfere with the operation, security, or integrity of the Site;
• Copy or scrape product listings, pricing, or images for resale or competitive purposes; or
• Use automated systems, bots, or scrapers to access or collect information from the Site.

We reserve the right to suspend or terminate access for any activity that, in our judgment, disrupts or harms the operation of the Site or violates applicable law.

Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Site or make purchases.

By using the Site, you represent that you are legally capable of entering into binding agreements and, if purchasing on behalf of an entity, that you are authorized to act on that entity’s behalf.

Account Registration

Certain features of the Site, including making purchases, order history, tax exemption management, and reseller pricing, may require you to create an account.

You agree to provide accurate, current, and complete information when registering and to maintain and promptly update it as necessary. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that provide false information, engage in unauthorized use, or otherwise violate these Terms.

Product Information and Availability

We make every reasonable effort to ensure the accuracy of all product descriptions, images, pricing, and specifications displayed on the Site. However, errors may occur, and product availability may change without notice.

Product images are for illustrative purposes only. Actual appearance may vary depending on the manufacturer, production run, or packaging. All items are subject to availability and may be discontinued or substituted without prior notice.

If an error in product information or pricing is identified after an order is placed, we will notify you and allow you to confirm or cancel the order before processing.

Pricing and Payment

All prices are listed in U.S. Dollars (USD) and exclude shipping, handling, and applicable taxes unless otherwise stated.

We accept payment by credit/debit card, ACH, wire transfer, or other approved methods. Payment must be received and cleared before shipment.

We reserve the right to correct any typographical or system errors in pricing, even after an order has been submitted. In such cases, you will be notified and may cancel the order if desired.

Sales Tax

We are required to collect sales tax in jurisdictions where we are legally obligated to do so. If you are tax-exempt, you must submit a valid resale or exemption certificate before placing your order. Tax refunds cannot be issued retroactively after an order has shipped.

Shipping, Delivery, and Risk of Loss

All shipments are made F.O.B. Origin unless otherwise specified. Title and risk of loss transfer to the Customer upon delivery of the goods to the carrier.

We use reputable carriers, but delivery times are estimates only. We are not responsible for delays caused by carriers, customs, weather, or other factors beyond our control.

You must inspect shipments immediately upon receipt. If any visible damage, shortages, or discrepancies are found, you must notify us within five (5) business days to file a claim.

For concealed damage, follow the instructions in our Return Policy.

Returns and RMAs

All returns must follow our Return Policy, which is incorporated herein by reference.

Returns require a valid Returned Merchandise Authorization (RMA) number. Products sent without an RMA will be refused.

Returned items must be in “Resale Condition” (unused, complete, and in original packaging) unless defective or non-conforming.

Restocking fees may apply. Refunds, exchanges, or replacements are subject to manufacturer approval and our discretion.

Software, licenses, and Special Order items are non-returnable.

Warranties

All products are covered solely by the manufacturer’s or OEM’s warranty, if any.

We make no independent warranties and expressly disclaim any implied warranties, including merchantability, fitness for a particular purpose, or non-infringement.

Warranty claims should be directed to the manufacturer unless otherwise specified. We may assist with warranty coordination as a courtesy, or through support plans, but are not responsible for manufacturer actions or delays.

Limitation of Liability

To the fullest extent permitted by law:

• We are not liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Site or purchase of any product, even if advised of the possibility of such damages.
• Our total liability for any claim shall not exceed the amount actually paid by you for the product giving rise to the claim.
• We are not liable for loss of data, business interruption, or loss of profits resulting from equipment failure or misuse.

These limitations apply regardless of the legal theory asserted and even if a remedy fails its essential purpose.

Compliance and Export Controls

You agree to comply with all applicable U.S. laws and regulations, including export control laws, trade restrictions, and sanctions administered by the U.S. Department of Commerce and the Office of Foreign Assets Control (OFAC).

You may not export or re-export products to any country, entity, or individual prohibited under U.S. law.

Privacy and Data Use

Your use of the Site is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information.

By using the Site, you consent to our collection and use of data as described therein.

Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, employees, agents, and affiliates from any claim, loss, or damage (including reasonable attorney’s fees) arising from your misuse of the Site, breach of these Terms, or violation of any law or third-party rights.

Governing Law and Venue

These Terms are governed by and construed under the laws of the State of New Jersey, without regard to its conflict of law principles. You agree that any disputes shall be brought exclusively in the state or federal courts located in Morris County, New Jersey, and you consent to the jurisdiction of those courts.

Force Majeure

We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, labor disputes, shortages, war, government actions, or carrier delays.

Changes to These Terms

We may update or modify these Terms at any time by posting a revised version on this page. The updated version will be effective as of its “Last Updated” date. Your continued use of the Site after such posting constitutes acceptance of the revised Terms.

Entire Agreement

These Terms, together with our Return Policy and Privacy Policy, constitute the entire agreement between you and the Company and supersede all prior or contemporaneous communications or agreements, written or oral, regarding your use of the Site.
